Terms of Sale and License

These terms are a legal agreement between you and WhoisFDE, a sole proprietorship based in Ontario, Canada("we", "us"). They apply when you visit getstemforge.com, buy StemForge, or install or use the StemForge desktop app and Premiere Pro plugin (together, the "Software"). By buying, installing or using the Software, you agree to these terms. If you don't agree, don't buy or use it.

If you accept these terms on behalf of a company, you confirm you have the authority to bind that company, and "you" includes it.

1. Your license

When your payment is complete we grant you a personal, non-exclusive, non-transferable license to install and use the Software, under these terms. You can use it for personal and commercial work, including paid client projects.

• One license is for one person. You may install it on Macs that you personally use.
• The Software is licensed, not sold. We and our licensors keep all ownership of the Software, its code, and the StemForge name and logo.
• Your license key identifies your license. Keep it private.

2. What "lifetime" means

"Lifetime" means your license has no expiry date and no recurring fee. It lasts for as long as we offer the StemForge product, unless it ends under section 8.

• It covers the Software and any updates we choose to release for it. We aren't obliged to release updates, new features, or support for future versions of macOS or Premiere Pro.
• It doesn't include future products we sell separately.
• If we ever permanently discontinue StemForge, we will make reasonable efforts to publish a final version that keeps working without our license server, so the copy you paid for keeps working.

3. What you may not do

Unless we agree in writing, or the law expressly allows it despite this restriction, you may not:

• share, sell, publish, or give away your license key, or let anyone else use it;
• copy, redistribute, rent, or resell the Software or its installer;
• bypass, disable, or interfere with the license check, or help anyone else do so;
• reverse engineer, decompile, or modify the Software;
• remove or change any copyright, trademark, or license notices; or
• use the Software in a way that breaks the law or infringes someone else's rights.

4. Your audio and your work

StemForge processes your audio locally on your Mac. We don't receive your audio or your projects, and we claim no ownership of anything you make with the Software.

You are responsible for having the rights to the audio you process and to what you do with the results. Separating a song into stems doesn't give you any rights in that song. Using someone else's music may need permission from its owners.

5. Buying StemForge

• StemForge is pay what you want, from the minimum price shown at checkout. All prices are in Canadian dollars. Taxes are added where the law requires.
• Payments are processed by Stripe. We never see or store your full card details.
• Your license is delivered by email and on the page shown after checkout as soon as payment is confirmed.
• Before you buy, check that your Mac and Premiere Pro meet the requirements listed on our site.

6. Promo codes, free and beta licenses

• Promo codes have no cash value, can't be exchanged or combined, and may be withdrawn at any time before they are used.
• A code is void if it was obtained or shared without our permission. A license bought with such a code may be revoked.
• Licenses we give for free, or as part of a beta, review or promotional program, are provided as a courtesy. We may end them at any time.

7. All sales are final

StemForge is a digital product delivered immediately, so all sales are final and we don't offer refunds. By completing your purchase you ask us to deliver the Software right away and you acknowledge that, once it is delivered, you lose any right to cancel that applies to digital content where such a right can be waived. See our Refund Policy.

This doesn't affect any right you have under consumer protection law that can't be excluded by agreement, such as a refund for a duplicate charge or a purchase we never delivered.

8. License checks and when a license ends

The Software contacts our server to activate your license and to check it periodically. This check sends your license key and nothing about your audio or projects.

We may suspend or revoke a license, and the Software will then stop working, if:

• you break these terms, including section 3;
• your license key has been shared publicly or is being used in a way that shows it is shared;
• the purchase was fraudulent, or the payment was reversed or charged back; or
• it is a free, beta or promotional license under section 6.

If you dispute a valid charge with your bank instead of contacting us, we will treat the payment as reversed and may contest the dispute with evidence of your purchase and these terms. If a license ends, you must stop using the Software and delete it.

9. No warranty

To the extent the law allows, the Software is provided "as is" and "as available", without warranties of any kind, including fitness for a particular purpose or uninterrupted, error free operation. Stem separation, tempo and key detection are estimates and won't be perfect for every recording. Keep your own backups of your projects.

10. Limit of liability

To the extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, including lost profits, lost data or interrupted work. Our total liability for any claim about the Software or these terms is limited to the amount you paid for your license. Nothing in these terms limits liability that the law doesn't allow to be limited.

11. Your responsibility

You agree to cover our reasonable losses and costs from any claim by someone else that arises from your breach of these terms or from audio you process without the rights to do so.

12. Other companies

StemForge is an independent product. It isn't made, endorsed or sponsored by Adobe or Apple. Adobe and Premiere Pro are trademarks of Adobe. Mac and macOS are trademarks of Apple. Your use of their products is governed by their own terms.

13. Changes to these terms

• The version of these terms you accept at checkout governs that purchase. Each purchase records the version accepted.
• We may publish new versions for future purchases and for updates to the Software. A new version takes effect on the date shown on this page. We will not change the price you already paid or take away the lifetime nature of a license you already bought.
• These terms can only be changed by us publishing a new version on this page. No email, chat message, social media post, reseller, or anyone acting for us can change, waive or add to them, and any such statement is not binding.
• Copies of these terms published anywhere other than getstemforge.com, or altered copies, have no effect.

14. General

• Entire agreement. These terms, the Refund Policy and the Privacy Policy are the whole agreement between us about the Software. They replace anything said or written before, and they take priority over any terms you send us.
• Severability. If any part of these terms can't be enforced, the rest stays in effect and that part is applied as far as the law allows.
• No waiver. If we don't enforce a right straight away, we haven't given it up.
• Transfer. You can't transfer your license or these terms. We may transfer them to anyone who takes over StemForge, and your license continues on the same terms.
• Events beyond our control. We aren't responsible for delays or failures caused by events we can't reasonably control.
• Language. These terms are written in English, and the English version is the one that applies.

15. Governing law

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. You and we agree to the courts of Toronto, Ontario for any dispute, except where the consumer law of the place you live gives you the right to bring a claim there.
